Cameron Completes NATCO Deal – Analyst Blog

Last week, oil drilling equipment maker Cameron International Corp. (CAM) closed the previously announced acquisition of Texas-based fellow oilfield service provider NATCO Group for approximately $780 million, following the approval by NATCO’s shareholders.  In relation to the acquisition, Cameron reached an agreement with the U.S. Department of Justice (DOJ) to divest its Edge refinery desalter business and will license, on a non-exclusive basis, NATCO's Dual Frequency electrostatic technology for refinery desalter products. This was based on the DOJ’s antitrust division’s view that the acquisition as originally proposed would significantly hamper U.S. refinery desalter manufacturing competition, resulting in higher prices and lower quality, service, and innovation.  Incidentally, Cameron and NATCO are the top two domestic refinery desalter suppliers. The acquiistion involved an all-stock transaction whereby, NATCO stakeholders exchanged each of their shares for 1.185 Cameron common stocks and will receive cash reflecting the value of any fractional shares. ...

Boston Scientific Corporation (BSX) settled its $296 million lawsuit with the U.S. Department of Justice (DOJ) related to product advisories issued by its Guidant subsidiary in 2005. The litigation pertained to alleged violations of the Food, Drug, and Cosmetic Act by Guidant. The allegations were reported prior to Boston’s acquisition of Guidant in 2006. Boston has recorded the litigation expense in its third quarter of fiscal 2009 results and updated its income statement accordingly. The expense has lowered the company’s GAAP earnings per share by 19 cents into a loss per share of 6 cents in the third quarter of 2009. Adjusted figures remained unaffected by this charge. Boston has also lowered its full fiscal 2009 GAAP earnings per share guidance to a range of 23 to 28 cents, compared to its prior guidance of 43 to 48 cents. AT&T Completes CYCL Acquisition – Analyst Blog

AT&T Inc (T) has reportedly completed its much anticipated acquisition of Centennial Communications Corp (CYCL), the eighth largest US wireless carrier by subscribers. This follows the recent approvals of the transaction by the US Department of Justice and US telecom regulator Federal Communications Commission (“FCC"). The transaction, which was originally set to complete in second-quarter 2009, is now officially closed.  As per the agreement terms, shareholders of Centennial will receive $8.50 in cash for every share they own, equating to approximately $944 million. Including net debt, the aggregate value of the deal is $2.7 billion. AT&T will take appropriate steps to redeem all of Centennial’s outstanding debts. Recently, Mylan (MYL) announced the settlement of its dispute with Pfizer (PFE) related to the patent of antifungal drug Vfend (voriconazole). Now Mylan can launch an authorized generic version of the drug in two dosage forms of 50 mg and 200 mg tablets in early 2011. Mylan’s subsidiary, Matrix Laboratories, has Food and Drug Administration (FDA) approval for the generic version of the drug. Being the first company to submit an Abbreviated New Drug Application (ANDA), Matrix expects to be eligible to receive 180 days of marketing exclusivity for the drug. However, the agreement does not include liquid or intravenous versions of Vfend. The agreement has yet to be approved by the US Department of Justice and the Federal Trade Commission. The world’s largest drugmaker Pfizer (PFE) now leads the list of largest healthcare fraud settlement payers. The company yesterday announced that it finalized with the U.S. Department of Justice (DoJ) to pay a total of $2.3 billion in penalty. The penalty is related to its off-label promotional practices for Bextra, and other fraudulent marketing practices for the promotion of four drugs. Pfizer also entered into an integrity agreement with the Health and Human Services Department under which it has agreed to ensure proper checks for a period of five years in order to avoid such issues.

In 2005, Bextra was voluntarily withdrawn from the market as it was illegally promoted for several unapproved indications and dosages.
