Rating agency A.M. Best Co. has affirmed the financial strength ratings (FSR) and issuer credit ratings (ICR) of the property and casualty (P&C) and life and health insurance subsidiaries of Assurant Inc. (AIZ). Additionally, A.M. Best has affirmed the issuer credit ratings of "bbb" and debt ratings of Assurant.

Along with affirming the ratings of the parent, A.M. Best has also upgraded the FSR of four of its operating subsidiaries to "A" from "A-" and ICRs to "a" from "a-" with a stable outlook for all. The four subsidiaries are American Reliable Insurance Company, Voyager Indemnity Insurance Company, Reliable Lloyds Insurance Company and Caribbean American Property Insurance Company.

A.M. Best acknowledges Assurant’s diverse product and distribution platform, established presence in various niche markets, adequate risk-adjusted capitalization, solid operating earnings, adequate interest coverage ratio of over 10.0X and sufficient financial flexibility.

Negatives include an ongoing U.S. SEC investigation that has adversely affected the company’s credit profile. In July 2009, Standard and Poor’s lowered the counterparty credit ratings and financial strength ratings on two of Assurant’s domestic operating insurance subsidiaries to "A-" from "A."

Also, the company’s continued dependence on third-party reinsurance and significant growth in specialty property (both organically and through acquisitions) in conjunction with an increase in net retention associated with its property catastrophe (CAT) treaty in recent years, expose its results to a greater degree of variability over the near term.

Zimmer to Sell Notes – Analyst Blog

Zimmer Holdings, Inc. (ZMH) recently decided to raise $1 billion by selling its senior unsecured notes in an underwritten public offering in two separate transactions. The transactions involve selling $500.0 million of 4.625% notes due 2019 and $500.0 million of 5.75% notes due 2039. The public offering is expected to close on Nov 17, 2009.

Zimmer has already filed an automatic shelf registration statement on Form S-3 with the Securities and Exchange Commission for the public offer. Citigroup Global Markets Inc., a division of Citigroup, Inc. (C); Banc of America Securities LLC, a division of Bank of America Corp. (BAC); and J.P. Morgan Securities Inc., a division of JPMorgan Chase & Co. (JPM) are the active joint book-running managers of the offering. The offer will be made to the public through the prospectus.

The 2019 notes yield 118 basis points above the Treasury benchmark and the 2039 notes yield 135 basis points above the Treasury benchmark. Zimmer will use the net proceeds of the offering to repay its outstanding credit balance under its credit facility and for general corporate purposes like the company’s stock repurchase program. Zimmer already had cash and cash equivalents of roughly $440 million at the end of the third quarter of 2009.

JAVA Earnings Beat, Sales Lag

Sun Microsystems, Inc. (JAVA) reported results for the first quarter of fiscal 2010 in an SEC filing. Lower operating expenses and higher gross margin helped the company lower its first quarter GAAP loss to $120 million, or 16 cents per share from a loss of $1.68 billion or $2.24 per share reported in the year-ago period and beating the Zacks Consensus estimate of a loss of 23 cents per share.

Earnings on a non-GAAP basis (excluding one-time items) rose to 2 cents per share in the quarter from a net loss of 8 cents per share in the year-ago period. Gross margin improved to 43.4% from 40.2% a year ago. Operating expenses were down 62.3% year over year, as a result of which operating margin improved to -4.5% from -55.2% in the year-ago quarter.

However, total revenue fell 25% to $2.24 billion, with both Products and Service revenues declining 32.7% and 13.9%, respectively from the year-ago period. Revenue was lower than the Zacks Consensus estimate of $2.34 billion. Sales on a year-over-year basis were down 19.1% in North America, down 29.2% in Europe , down 32.8% in emerging markets and down 23.3% in the Asia-Pacific.

Revenue from servers fell 31.4% and from storage products almost 35.9% compared to the year-ago period. Revenue from new products dropped 33%, while unit sales of servers were down 41%.

Revenue from Support Services decreased primarily due to customers seeking higher discounts, delays in service contract renewals and strong competitive pressures. Professional Services revenue decreased primarily due to decreased sales in the Systems business.

The company said that revenue fell across all of its product lines negatively impacted by the pending approval from the European Commission and other foreign regulators on its acquisition by Oracle Corp. (ORCL). The delay in approval from the regulatory body is causing Sun Micro to lose about $100 million each month.

Sun had earlier announced a headcount reduction of 3,000 or 10% over the next 12 months. It has already eliminated 7,600 positions in the past three years. The company, which is under severe financial pressure, is struggling to survive the recession.

Despite cost-cutting efforts and increased layoffs, we remain concerned about the delay in closing the merger, which could reduce its value for Oracle's business. Moreover, rivals such as International Business Machines (IBM), Hewlett-Packard (HPQ) and Microsoft (MSFT) are taking advantage of the delay by giving discounts to customers.

Sun’s performance has not been good for quite a number of quarters. The weak economy, slower adoption of new products, consolidation of the customer base, delay or cancellation of projects, increased competition and sluggishness in overall IT spending have taken a toll on the company.

The company said that customers are exercising caution due to the delay in the acquisition, causing bookings in the quarter to fall 22.7% year over year and 11.4% quarter over quarter. Total backlog declined 5% year over year to $1.84 billion.

Balance Sheet
Sun’s balance sheet and cash flow deteriorated considerably in the quarter. The company exited the quarter with $2.38 billion in cash and short-term marketable securities, down from $2.86 billion generated in the previous quarter. Long-term debt was $589 million in the quarter, up $8 million from the previous quarter. Operating cash flow declined to $38 million in the quarter from $75 million in the previous quarter.

The Securities and Exchange Commission said on Wednesday that JPMorgan Chase & Company (JPM) agreed to pay more than $700 million to settle federal regulators' charges for an unlawful payment scheme that helped them win business involving municipal-bond offerings and swap-agreement transactions in Jefferson County , Alabama.

JPMorgan Securities Inc, a division of JPMorgan Chase & Company, and two of its former managing directors, Charles LeCroy and Douglas MacFaddin, made those unlawful payments to win business and earn fees. The scandal was over the county's debt of around $4 billion which was pushing the county into the biggest municipal bankruptcy in U.S. history.

JPMorgan Securities has agreed to pay a fine of $25 million and $50 million to Jefferson County . The company will also lose more than $647 million in claimed termination fees on the swaps.

JPMorgan, LeCroy and MacFaddin were alleged to have made undisclosed payments of about $8 million to close friends of several Jefferson County commissioners. Since July 2002, these two managing directors have solicited the county for a $1.4 billion sewer bond deal.

As a result of the undisclosed payments, the commissioners of the country selected JPMorgan Securities as the managing underwriter of the bond offerings.

In July, the SEC proposed tightening rules governing disclosures about municipal securities to aid investors in a multitrillion-dollar market used to finance schools, roads and hospitals around the country. The current incident further underscores the importance of transparent and timelier disclosures of brokers and dealers for investors in the municipal bonds and other securities market.

JPMorgan’s third quarter earnings came in at 82 cents per share, substantially ahead of the Zacks Consensus Estimate of 49 cents. This compares favorably with 9 cents in the prior-year quarter.  Better-than-expected results were primarily aided by continued strong performance by the Investment Bank group. All the other segments except Consumer Lending and Card Services also delivered solid results during the quarter. However, a continuation of high levels of credit costs in Consumer Lending and Card Services loan portfolios and an increased provision for credit losses were the primary factors that negatively impacted the results.

We anticipate continued synergies from the company’s diversification and strong capital position, but increasing provisions and worsening credit quality will be a drag on upcoming results. Therefore, we are maintaining our Neutral recommendation on the shares of JPMorgan.

In a filing with the SEC, Sun Microsystems Inc. (JAVA) announced to cut its headcount by 3,000 or 10% over the next 12 months, given the delay in getting European Commission clearance for its merger with Oracle Corp. (ORCL).

Sun said that the job cuts will affect all of the company’s major regions, including North America, Europe, Asia and emerging markets. The company expects to incur $75 – $125 million in restructuring charges over the next several quarters. The company said it will record the majority of the charges in the second and third quarters of fiscal 2010.

Oracle, the largest software company, had proposed the acquisition of Sun Microsystems for $7.4 billion ($9.50 a share), which has been slowed by an ongoing antitrust review in Europe and the company is still waiting for clearance by the European Commission.

The delay in approval from the regulatory body is causing Sun Micro to lose about $100 million each month, the company said earlier. The deadline to approve the deal is Jan 19. The deal has been approved by the U.S. regulators.

Previously, Sun had eliminated 7,600 in the past three years. The company, which is under severe financial pressure, has been trying every means to survive the worst recession. The company currently employs 26,000 employees.

Sun’s performance has not been good for quite a number of quarters; the company has been struggling to make profit. It had reported a loss of $2.2 billion in the last year ended June. The company said that customers are being cautious due to the delay in the acquisition, which has resulted in such decline. Moreover, rivals such as International Business Machines (IBM), Hewlett-Packard (HPQ), Cisco Systems Inc. (CSCO) and Microsoft (MSFT) are taking advantage of the delay.

The acquisition of Sun will give Oracle more control over the development of Java, a key technology used in its products. The major issue in the delay lingers on Oracle's potential acquisition of Sun's MySQL – an open-source database software which overlaps Oracle’s own database software. This could smother competition in the database software industry.

Despite cost-cutting efforts and increased layoffs, we remain concerned about the delay in closing the merger, which could erode Sun's profit, and reduces its value for Oracle's business.

The Securities and Exchange Commission (SEC) on Wednesday asked for a jury trial related to its lawsuit against Bank of America Corp. (BAC) for misleading shareholders about bonuses to Merrill Lynch employees before the companies merged in January.

U.S. District Court Judge Jed Rakoff last month rejected a $33 million settlement between the SEC and Bank of America over the $3.6 billion in bonuses. The District Court Judge said that SEC's accusations of inadequate disclosure by the bank over bonuses paid at Merrill Lynch must go to trial. The date of trial is set for March 1, 2010.

Though BofA overpaid for Merrill Lynch, the deal makes strategic sense now. With the acquisition of Merrill Lynch, BofA gained a global investment-banking platform, profitable retail brokerage addition and significant equity-underwriting capacity, all of which it lacked earlier. For the first half of 2009, Merrill contributed $1.84 billion.

BofA has been one of the largest beneficiaries of the federal bailout program, receiving $45 billion from a total of $700 billion. The company faces many lawsuits and investigations by lawmakers and regulators over the Merrill Lynch acquisition, which made it the largest U.S. bank.

We think that BofA is in a relatively good shape from a capital perspective. During this delicate period of market stress, the availability of significant private-sector capital is very limited. As a result, the management remains focused on managing asset levels efficiently, ensuring the deployment of TARP funds to core lending businesses and trimming other assets in non-core businesses.

Also, the management is quite confident about its capital position as it has indicated paying back TARP funds in installments.

We anticipate continued synergies from the company’s large scale operation and balance sheet restructuring. However, higher credit costs, various legal issues and worsening credit quality will be a drag on BofA’s upcoming results. As such, we maintain a Neutral recommendation on the stock.

Ken Lewis, Chief Executive Officer and President of Bank of America Corporation (BAC), announced that he has notified the Board of Directors of his decision to retire, effective December 31, 2009.

The Board will continue ongoing planning to ensure his successor is selected by that date. Lewis will retire both as CEO and as a director.

On Aug. 3, 2009, Lewis, 62, had initiated changes to his executive management committee that increased the depth, expertise and diversity of experience of Bank of America's leadership team. Lewis had targeted these changes to position a number of senior executives to compete to succeed him at the appropriate time.

Lewis' decision to retire adds to the uncertainty for a company that has been under attack by regulators and lawmakers since its controversial purchase of Merrill Lynch a little more than a year ago.

The lack of a clear successor to replace Lewis, who has claimed a lot of the credit for transforming Bank of America into one of the biggest success stories in banking in recent years prior to the Merrill deal, raises concerns about the bank’s future.

Moody’s allegedly hastened the credit crisis earlier in the decade by assigning top ratings to mortgage-backed securities that deteriorated later. Moreover, it is being probed by regulators worldwide, with several ongoing reviews in Europe for rating a European debt product, constant proportion debt obligations (CPDOs), at a higher-than-merited AAA.

According to the Wall Street Journal, Eric Kolchinsky a former analyst with Moody's Corp. (MCO) has accused Moody's Investor Service of issuing inflated ratings and will make the matter public by taking it to U.S. congressional investigators.

Moody’s issued a high rating to a debt security, although it was planning to downgrade assets backing the securities. The Journal said that Moody's declined to make any comment but has suspended Mr. Kolchinsky, as he refused to cooperate with the investigation into the issues raised. Kolchinsky is scheduled to testify on the ratings firm reform before the House Committee on Oversight and Government Reform.

Earlier, Swiss banking giant UBS AG (UBS) was ordered to pledge its assets or provide bonds worth $35 million after reports claimed that top credit ratings agencies had committed a securities fraud by providing insider trading information to the bank. UBS had entered a deal to sell its investment-grade collateralized debt obligation (CDO) notes in 2007 with the prior knowledge that the securities were about to be downgraded.

The proceedings revealed that the rating agencies Moody’s and Standard & Poor’s provided insider information to UBS regarding their impending decision to downgrade some of the CDOs the bank was selling. The credit crunch led the securities to default only months after they were sold and UBS used the situation to its advantage.

The UBS litigation reflects a negative sentiment that has built up against large credit rating agencies for sharing furtive connections with big investment banks. This would certainly hurt Moody’s goodwill and highlight the fact that rating agencies can be bought. The integrity of the company and its ratings are in question.

The SEC has proposed rules for credit rating agencies to improve credit rating practices and transparency in ratings. The SEC has designed various measures to stop the practice of corporations seeking to buy favorable ratings by negotiating fees with raters.

Although Moody’s is not ultimately compensated on the accuracy of its ratings, we believe it will face large penalties. We believe that the rating agencies are hampered by conflicts of interest and the employees lack independence to give a fair rating. The major credit rating agencies under SEC scrutiny would be Moody’s, McGraw-Hill's (MHP) Standard & Poor’s and Fitch Ratings.

Recently, Insurance regulators have approved CMBS ratings from Realpoint LLC for commercial mortgage-backed securities, a move aimed at providing an alternative to the major ratings agencies. But the question still remains whether this is enough to stop such malpractices. SEC will have to take strict actions against these rating agencies.

Regions Financial Corp. (RF) will have to shell out $1 million as penalty to settle Securities and Exchange Commission (SEC) charges. The SEC had filed a civil action against Regions Bank for its role in connection with a Florida-based offering scam by unregistered broker-dealers U.S. Pension Trust Corp. and U.S. College Trust Corp. (collectively, USPT).

Regions Bank, and its predecessor Union Planters Bank, acted as trustees for a pair of unregistered investment brokers, the USTP. The trust arrangement was begun in 2001 by Union Planters, which merged with Regions in 2004. Regions allowed its name to be used in marketing materials, helped prepare a promotional video and met with prospective investors and some of the schemes' 2,000 unregistered sales agents.

Without telling investors, the two investment plans deducted 18-85% of contributions to pay large sales commissions and enhance the plans' own profits. Approximately $255 million was raised illicitly from about 14,000 investors. The $1 million penalty will be put into a fund to compensate investors in the fraud.

Regions ceased accepting new clients from the investment plans in January 2008 and closed processing contributions and renewals for existing plans last month. The accounts currently hold about $95 million in mutual fund assets for 11,000 investors, according to the SEC. Recent news coverage has not been pleasant for Regions Financial.

In its second quarter, the company posted $244 million in net losses versus $206 million in profits during the same period in 2008. Adding to the bank’s woes is news from the SEC that the regulator issued a Well notice to Regions subsidiary Morgan Keegan in July as well as three employees, informing them to get ready for future enforcement action over violations of federal securities laws.

SEC Charges BofA for Merrill Bonuses – Analyst Blog

The US Securities and Exchange Commission (SEC) will aggressively pursue a trial against Bank of America Corp. (BAC) for allegedly misleading investors during the acquisition of Merrill Lynch & Co. late last year. The SEC accused BofA of failing to disclose to shareholders that it had authorized Merrill to pay up to $5.8 billion in bonuses to employees in 2008 even after it lost $27.6 billion that year.

Last month, the SEC and BofA had reached a settlement on the charges that required the bank to pay a $33 million fine. But US District Judge Jed Rakoff condemned the deal, saying the corporate fine would further unfairly penalize the shareholders instead of the people actually guilty of misleading investors.

Both the SEC and BofA have defended the earlier settlement proposal as appropriate. But after Rakoff's ruling, the SEC weighed its options - to go to trial, drop the charges or attempt to renegotiate the deal with BofA.

The SEC also said that it could bring additional charges against BofA on the basis of evidence that might develop in course of the trial. This indicates that regulators may draft civil fraud charges against top bank executives in the coming weeks.

Bank of America, however, continues to defend itself by proclaiming that disclosures on the Merrill deal met all legal requirements. The bank had earlier agreed to pay a fine to avoid legal hassles with the SEC at a time of market uncertainty.

The SEC lawsuit comes as an added blow to Bank of America. The New York Attorney General's office is carrying out its own investigation into the Merrill deal and has been drafting what are likely to be civil fraud charges against top bank executives in the coming weeks. The bank also missed a Monday noon deadline to provide additional information about the deal to a congressional committee.

Separately, Bank of America agreed to pay $425 million to government agencies, including the Treasury Department, to exit an arrangement under which public funds might have been used to shoulder losses on risky assets worth $118 billion associated with the Merrill takeover.

This step was part of the bank’s broader effort to loosen various forms of government support. While the option was never used, the government has argued that the bank benefited from the promise of protection.BofA has been one of the largest beneficiaries of the federal bailout program, receiving $45 billion from a total of the $700 billion.

U.S. (EPDS.OB) Transfers Rights to Purchase EPOD Solar Canada Assets and Stock to DayStar Technologies September 21, 2009 - KELOWNA, BC ndash; (MARKETWIRE) ndash; EPOD Solar Canada, a vertically integrated manufacturer of thin-film solar modules that develops, owns and operates solar parks throughout Europe and North America (ldquo;EPOD Solarrdquo;), announced today that it has executed a letter of intent (ldquo;Letter of Intentrdquo;) with DayStar Technologies, Inc.,, a developer of solar photovoltaic products based on CIGS thin-film deposition technology (ldquo;DayStarrdquo;), regarding a proposed transaction or series of transactions (collectively, the ldquo;Transactionrdquo;) intended to result in the combination of the businesses of EPOD and DayStar. Upon successful completion of negotiations and due diligence, the parties intend to sign definitive agreements and complete the Transaction as soon as practicable. Six China Sector & Seven EM Country ETFs Proposed

Global X proposes new sector funds for China, as well as seven new single-country emerging markets ETFs.

Exchange-traded fund provider Global X Funds filed a prospectus on Sept. 10 with the Securities and Exchange Commission to launch six new ETFs, which will track different sectors of the Chinese economy.

The funds are: Global X Consumer, Global X China Energy, Global X China Financials, Global X China Industrials, Global X China Materials and Global X China Technology.

The funds will be 80 percent invested in American Depositary Receipts and Global Depositary Receipts, and 20 percent invested in swaps and options contracts.

The funds will employ strategies to replicate to 95 percent accuracy the performance of the underlying FTSE-created sector-specific indexes they follow after fees and expenses, and will issue creation units in blocks of 50,000 shares. Global X did not mention what management fee would be charged for investing in the funds.

The new ETFs are a breakthrough for the industry, since for the first time investors will be able to gain access to specific sectors of the Chinese economy, according to market watchers.

“What’s unique about these funds is that they will enable investors to specifically invest in specific Chinese sectors, as opposed to choosing a broader emerging market or China ETF that’s heavily invested in a range of sectors,” wrote Tom Lydon of Global Trends Investments in a recent note.

Global X Funds also filed to register seven additional funds, which aim to track foreign markets that are currently hard to access for U.S. investors. The funds are: Global X Denmark, Global X Emerging Africa, Global X Finland, Global X Norway, Global X Pakistan, Global X Poland and Global X United Arab Emirates. (You can read the filing here.)

The Danish, Finnish and Norwegian funds follow the recently-launched Global X FTSE Nordic 30 (NYSEArca: GXF), a fund which is heavily-weighted in Swedish equities (46 percent). Since its launch on Aug. 20, shares in GXF have leaped 11.9 percent in value.

The provider’s other ETF, Global X InterBolsa FTSE Columbia (NYSEArca: GXG), is also doing well since its debut in February, up 86.5 percent.

FedEx Preannouncement Beats

Shares of FedEx Corp. (FDX) have jumped more than 5% so far today after the company preannounced fiscal first-quarter earnings, which topped Wall Street expectations.

The package-delivery major said that it expects to post earnings of 58 cents per share, which is well above its guidance of 30 cents to 45 cents as well as the Zacks Consensus Estimate of 43 cents per share. The company reported earnings of $1.23 per share in the year-ago quarter.

The Memphis, TN-based company also stated that fiscal second-quarter earnings is expected to range between 65 cents and 95 cents per share, which is in line with the Zacks Consensus Estimate of 71 cents per share derived from 15 covering analysts. The guidance is still well below the year-ago earnings of $1.58 per share.

FedEx attributed the better-than-expected first quarter earnings to improved International Priority (IP) shipping volumes and management’s cost cutting efforts. The IP service generated revenues of nearly $7 billion and contributed about 19.6% towards total revenue during fiscal 2009.

However, the company added that revenue per shipment dipped year over year in each of the transportation segments amid a competitive pricing environment coupled with significant overcapacity in less-than-truckload (LTL) freight market. The company, which competes with United Parcel Service Inc. (SNDA), also said that the second quarter guidance incorporates the current outlook on fuel prices and a modest recovery in global economic conditions.

Moody's Under SEC Axe

Swiss banking giant UBS AG (UBS) was recently ordered to pledge its assets or provide bonds worth $35 million by Judge John Blawie at Connecticut Superior Court. The unfavorable order came as a blow after reports claimed that top credit ratings agencies had committed a securities fraud by providing insider trading information to the bank.

Stanford-based hedge fund Pursuit Partners claimed that UBS had entered a deal to sell its investment-grade collateralized debt obligation (CDO) notes in 2007 with the prior knowledge that the securities were about to be downgraded.

The proceedings revealed that the rating agencies Moody’s Corp. (MCO) and Standard & Poor's provided insider information to UBS regarding their impending decision to downgrade some of the CDOs the bank was selling. The credit crunch led the securities to default only months after they were sold and UBS used the situation to its advantage.

The Court order came at the end of a one-week hearing, where various UBS employees testified and related documents, including internal UBS e-mails, were reviewed. However, UBS pledged innocence saying that the Court’s decision was a routine procedure, requiring defendants to provide security during the case proceedings.

The UBS litigation reflects a negative sentiment that has built up against large credit rating agencies for sharing furtive connections with big investment banks. This would certainly hurt Moody’s goodwill and highlight the fact that rating agencies can be bought. The integrity of the company and its ratings are in question.

The SEC has designed various measures to stop the practice of corporations seeking to buy favorable ratings by negotiating fees with raters. Although Moody’s is not ultimately compensated on the accuracy of its ratings, we believe it will face large penalties similar to investment banks in the wake of the technology bubble earlier in the decade.

The SEC is expected to hold a meeting on Sept. 17 to vote on proposed rules for credit rating agencies and pose restrictions on controversial flash orders. Regulators will also vote on the subject on adopting previously proposed rules to improve credit rating practices. The major credit rating agencies under the scrutiny would be Moody's, McGraw-Hill (MHP), Standard & Poor's and Fitch Ratings.

Following the U.S. Treasury’s announcement last week requiring the world’s banks to maintain stronger capital and liquidity standards by the end of next year to prevent a re-run of the global financial crisis, 15 large banks that control the majority of derivative trading worldwide have committed themselves to maintaining greater transparency in a $600 trillion market that needs stricter oversight in the interest of the global financial system.

As part of a series of voluntary steps by the banks to expand the use of clearing houses for the over-the-counter market in derivatives, the international banking group on Tuesday made the commitment for targets in expanded central clearing systems to the Federal Reserve Bank of New York. Bank of America Corporation (BAC), Citigroup Inc. (C), Deutsche Bank AG (DB), Goldman Sachs Group Inc. (GS) and JPMorgan Chase (JPM) were included in the banking group.

The derivatives are designed to reduce the risk of loss from an underlying asset. The value of a derivative is derived from an underlying investment or commodity, such as currency rates, oil futures or interest rates.

The Congress is considering setting up a new network of clearing houses to provide transparency for trades by focusing on the banks trading in derivatives to adhere to new capital requirements and other rules.

The new clearing houses will hopefully help regulators monitor a broader set of derivative market data easily. This will also help reduce the systemic risk profile significantly.

The Securities and Exchange Commission and the Commodity Futures Trading Commission have already started implementing their rules to eliminate differences for derivatives and other investments.

Credit default swaps account for an estimated $60 trillion of the global derivatives market. The rapid collapse of the swaps was primarily responsible for the downfall of Lehman Brothers and significantly affected American International Group (AIG).

The U.S. government was forced to pass a $700 billion package through the Troubled Asset Relief Program (TARP) last year to rescue the struggling institutions, which was facing massive losses due to the subprime crisis and housing collapse.

We think the new move along with stronger supervision will somewhat limit the profitability of the financial institutions, but would bring stability to the overall sector.

Cash Infusion by Las Vegas Sands – Analyst Blog

Las Vegas Sands Corporation (LVS) has announced its intention to infuse up to $600 million of capital through the sale of exchangeable bonds to strengthen up its balance sheet prior to the scheduled Hong Kong initial public offering (IPO) of its subsidiary.

The bonds will be compulsorily exchanged into common stock of its Macau unit after the unit's pending IPO on the Hong Kong Stock Exchange. The bonds will mature on September 4, 2014, according to a filing with the Securities and Exchange Commission, for which Goldman Sachs (GS) is the banker.

This pre-IPO financing is a part of Las Vegas Sands' current efforts to strengthen its financial position. Recently, the company has amended its $3.3 billion Macau credit facility. The amended agreement would enable it to sell a minority interest in its Macau operations for bolstering cash. Senior secured or unsecured notes can also be issued by Las Vegas Sands in Macau.

Las Vegas Sands is creating the Cotai Strip, a master-planned development of resort-casino properties in Macau. The project will feature approximately 21,000 rooms from renowned hotel brands such as St. Regis, Sheraton, Shangri-La, Traders, Hilton, Conrad, Fairmont, Raffles, Holiday Inn and InterContinental.

Las Vegas Sands maintains a robust development pipeline, with projects in Macau, Las Vegas, Singapore and Pennsylvania. FINRA Increases Margin Limits On Leveraged ETFs

FINRA ups margin limits in effort to curtail volatility in retail accounts of leveraged exchange-traded products.

The Financial Industry Regulatory Authority is imposing increased margin limits on purchases of leveraged and inverse exchange-traded funds in an attempt to curtail the volatility such products impose on retail investors.

Starting on Dec. 1, the maintenance margin requirement for leveraged long- and short-ETFs will be increased by a percentage commensurate with the leverage employed by the ETF.

This amount will not be allowed to exceed 100% of the value of the ETF. For example, on an ETF leveraged by 200%, the new margin maintenance requirement will be 75% of the value of the ETF.

FINRA also is increasing the maintenance margin requirements for listed and over the-counter uncovered options on leveraged ETFs.

Currently, the maintenance margin requirement for leveraged long ETFs is 25%, while the maintenance margin requirement for leveraged short ETFs is 30%. (Read the FINRA press release here.)

The change in regulations comes on the heels of a lawsuit filed at the end of last month against ProShares by Pearson, Simon, Warshaw & Penny LLP and Tydings & Rosenberg LLP on behalf of investors who lost money in one its leveraged inverse ETF products.

Investors allege that they were not informed that shares in the UltraShort Financials ProShares Fund (NYSE Arca:SKF) should not be held more than a single trading day and were not an appropriate hedge against a decline in U.S.-based financial stocks.

As a result, they claim that ProShares made materially false and misleading registration statements when it filed its application for the product with the Securities and Exchange Commission , and are seeking to recover the losses incurred.

Profitability Improves at VeriFone – Analyst Blog

VeriFone Holdings Inc. (PAY) yesterday reported revenues of $211.2 million for the third quarter. Revenues were down 18.4% year over year but up 4.7% sequentially.

Revenues from Asia were strong in particular, posting a 74% sequential growth. However, revenues from Latin America declined 24%. On a non-GAAP basis, gross margin was 36.8% compared to 33.8% in the prior quarter and 37.6% in the year-ago quarter. Operating expenses were down 45% year over year.

The majority of the improvement came from a reduction in net inventory related charges. VeriFone had earlier made provisions for excess inventory in order to adjust to lower demand.

On a GAAP basis, EPS was 26 cents compared to 22 cents in the previous quarter and a loss of 9 cents in the year-ago quarter. On a non-GAAP basis, EPS came in at 26 cents, easily beating the Zacks Consensus Estimate of 13 cents.

Going forward, management stated that business has begun to recover in both domestic and international markets. Management expects revenues between $208 million and $215 million in the fiscal fourth quarter. On a non-GAAP basis, net income is estimated between 23 cents and 25 cents.

For the full year, VeriFone projects revenues between $835 million and $842 million. On a non-GAAP basis, net income is projected between 83 cents and 85 cents.

Inventory for the quarter came to $98.5 million, down from $105.6 million at the end of the previous quarter. Although there are signs of the economy bottoming out, recovery is going to slacken and revenue growth will be challenging. We would like to be on the sidelines given the continued near-term uncertainty.

In a separate statement, VeriFone announced that it entered into a settlement with the Securities and Exchange Commission in connection with the previously disclosed investigation into the company’s 2007 restatement of certain of its quarterly financial results. The restatement resulted primary from some incorrect inventory accounting adjustments made by a former employee. VeriFone agreed to a permanent injunction against future violations of certain reporting, books and records and internal accounting control provisions of the federal securities laws.

Based in San Jose, California, VeriFone designs, markets and services a transaction automation system that facilitates electronic payments between consumers, merchants and financial institutions.
