Schering Inks Deal With Opko – Analyst Blog

Recently, Schering-Plough Corporation (SGP) and Opko Health Inc. (OPK) entered into a deal which would enable Opko to acquire the assets of Schering's neurokinin-1 (NK-1) receptor antagonist program. The companies did not disclose the terms of the agreement. NK-1 receptors are mostly found in the brain.  However, they are also found in other tissues of the body. Their activation causes a release of neurotransmitters and other signaling molecules that play a key role in controlling nausea and vomiting amongst other functions.  The U.S. market for nausea and vomiting drugs is estimated to be in excess of $2 billion. Rolapitant, Schering's lead neurokinin, recently completed mid-stage studies for the prevention of nausea and vomiting due to cancer chemotherapy, surgery and other indications. Options traders made a mad dash for Chesapeake Energy Corporation (NYSE: CHK) calls on Tuesday, after the firm reported a stronger-than-expected second-quarter profit. According to data from WhatsTrading.com, the natural gas concern saw almost 33,500 calls cross the tape, more than doubling its average single-session volume of fewer than 13,900 contracts. Schering’s Drug Moves to Next Stage – Analyst Blog

On July 15, 2009, Schering-Plough Corporation (SGP) announced that its HIV pipeline candidate, vicriviroc, has moved into the second stage of an ongoing phase II clinical study. Vicriviroc, a CCR5 receptor antagonist, is being developed for the treatment of HIV/AIDS.

In the ongoing phase II study, Schering-Plough is examining the efficacy of vicriviroc as a first-line treatment option for adult treatment-naive HIV-infected patients with R5-type virus only. The study is being conducted in two stages.

The first stage commenced in January 2008 and was conducted with 95 patients. Based on an interim analysis that was conducted following 24 weeks of treatment, the company received permission from an independent Data Safety Monitoring Board to move into the second stage of the study.

Vicriviroc is also being studied in treatment-experienced patients. Two large phase III trials (VICTOR-E3 and VICTOR-E4) in this patient population are currently ongoing.

Merck and Schering Plough Announce Merger

Merck & Co., Inc. (MRK) and Schering-Plough Corporation (SGP) have this morning, announced that their Boards of Directors unanimously approved a definitive merger agreement under which Merck and Schering-Plough will combine under the name Merck, in a stock and cash transaction.

Under terms of the agreement, shareholders of Schering-Plough will receive 0.5767 shares and $10.50 in cash for each share of Schering-Plough and each Merck share will automatically become a share of the combined company. Merck Chairman, President and CEO Richard T. Clark will lead the new entity.

Merck’s closing price of $22.74 on March 6, 2009, means SGP shareholders will be getting $23.61 for each of their SGP share, a 34% premium to SGP’s closing price on Friday, and values the deal at $41.1 billion.

If and when the transaction goes through, Merck shareholders will own approximately 68 percent of the combined company, with Schering-Plough
