Cephalon Settles Barr Challenge – Analyst Blog

Earlier this month, Cephalon Inc. (CEPH) announced that it has settled its patent infringement case with Barr Pharmaceuticals, which is now owned by Teva Pharmaceutical (TEVA). Barr was looking to market a generic version of Cephalon’s cancer pain management drug, Fentora.   As per the terms of the agreement, Barr has been granted a non-exclusive, royalty-free right to sell a generic version of Fentora in October 2018. However, if a generic version of Fentora enters the market prior to that date, Barr will be allowed to launch its generic version provided the other generic company does not enjoy marketing exclusivity. According to Cephalon, Fentora’s patent is not set to expire before 2019.   While we are pleased to hear about this settlement agreement with Barr, we note that another major generic player, Watson Pharmaceuticals (WPI), is also seeking to bring a generic version of Fentora to market....

Kimberly-Clark Corporation (KMB) reported strong third quarter results with earnings of $1.40 per share. Earnings were well above the Zacks Consensus Estimate of $1.04 and up a record 37.3% year over year. Profits were driven by higher prices and lower commodity and energy costs. However, net sales for the quarter declined 1.7% year-over-year to $4.9 billion, due to the adverse effect of weaker foreign currency exchange rates and flat volumes, which was more than offset by an organic sales growth of about 3%. In addition, the weak economic environment, especially in North America, impacted the top-line. Three of the four operating divisions: Personal Care (-0.7%), Consumer Tissue (-5.0%) and K-C (-4.5%) experienced revenue declines, while the Health Care segment increased 15.8% year-over-year. The drug met the primary endpoint of increase in spontaneous bowel movement over the baseline period along with no reduction of opioid-mediated analgesia in any dose groups. In addition, NKTR-118 was well tolerated, the common side effects being dose-dependent gastrointestinal-related effects. In September, AstraZeneca (AZN) had entered into a licensing deal with Nektar Therapeutics for two of its pipeline candidates, NKTR-118 and NKTR-119. Kimberly-Clark Corp. (KMB) announced that it acquired Baylis Medical Co.'s pain management business. The acquisition also includes a number of innovative, minimally-invasive radio-frequency pain management products.

Baylis was founded by Gloria Baylis (a registered nurse) in Montreal in 1986. In addition, to pain management products, the company also makes high-tech medical devices for cardiology and radiology.

The acquisition is believed to improve the competitive position of the company’s Health Care segment in the $2 billion global market for minimally invasive chronic spinal pain management. 

However, the financial terms of the transaction were not disclosed. Since 2001, Kimberly Clark's Health Care division has been the exclusive distributor of Baylis Medical's pain management products in the U.S.

Recently, AstraZeneca (AZN) entered into a licensing deal with Nektar Therapeutics (NKTR) for two of its pipeline candidates, NKTR-118 and NKTR-119. With the former having completed a phase II trial for the treatment of opioid-induced constipation, the latter, in early stage of development, is intended to treat pain without constipation side effects. Nektar will receive an upfront payment of $125 million for both the candidates. In addition, for NKTR-118, Nektar has the potential to receive $235 million of milestone payments on achieving certain regulatory milestones, as well as additional tiered sales milestone payments of up to $375 million if the drug succeeds in recording strong sales. The company will also receive double-digit royalty payments on global sales of the drug. For NKTR-119, Nektar is also supposed to receive milestone and royalty payments.
