Buffett Borrows for Rail Acquisition – Analyst Blog

Warren Buffett, the CEO and Chairman of Berkshire Hathaway (BRK.A)/(BRK.B), announced on Thursday to borrow $8 billion of loan for the acquisition of Burlington Northern Santa Fe Corporation (BNI). Berkshire Hathaway, which already owns a 22% stake in Burlington Northern, announced earlier this month it would acquire the rest for a total value of $34 billion. Buffet agreed to pay $100 a share in cash and stock to buy the rest of the company. The $8 billion loan that will be provided by JPMorgan Chase (JPM) and Wells Fargo (WFC) is intended to be paid back in three years’ time. For Berkshire, the acquisition of Burlington Northern, or BNSF, the second largest railroad, will be its biggest to date. The company posted quarterly revenue of $82.0 million, a year-over-year increase of 9.7%.  Industrial applications business generated revenues of $11.1 million, or 13.5% of total revenue, representing a 259.6% year-over-year increase, from industrial solutions targeted at the electrical grid and other sectors. Digital media revenue was $49.4 million, or 60.2% of total revenue for end-markets. Telecommunications equipment revenue was $20.3 million, or 24.7% of total revenue, representing a 9.4% decrease year-over-year. Satellite TV major Dish Network Corp.’s (DISH) third-quarter earnings slipped 12.3% on higher subscriber-related costs and litigation expenses associated with TiVo Inc. (TIVO). The company reported earnings of $80.6 million, or 18 cents per share, compared to $91.9 million, or 20 cents in the year-ago quarter and well behind the Zacks Consensus Estimate of 43 cents. The Englewood, Colorado-based company said total revenue declined 1.5% to $2.89 billion, from $2.94 billion in the year-ago period. The decrease was caused by a 0.8% contraction in subscriber related revenue to $2.86 billion as average monthly revenue per subscriber (ARPU) reduced by $0.31 to $69.51. The lower ARPU was the result of discounts on programming to new subscribers, retention efforts and reduced premium movie revenue, partially offset by price increases on popular programming packages, changes in the sales mix towards high-definition (HD) packages and advanced hardware offerings. Warren Buffett's Berkshire Hathaway (BRK.A) said on Tuesday that it is acquiring Burlington Northern Santa Fe Corp (BNI) for $44 billion. This is the biggest acquisition ever for Berkshire Hathaway. With this acquisition, Berkshire Hathaway is adding the railroad transportation business to its already diverse range of businesses including retail sales, insurance and financials, newspaper publishing, manufacturing, business services and several regional electric and gas utilities. Berkshire Hathaway, which already owns 22.0% stake in Burlington Northern, has offered $100 per share in cash and stock for the remaining portion of the holding. The transaction which is contingent on approval by two-thirds of Burlington’s outstanding shareholders is expected to close by first quarter of 2010.
