Adobe Systems (ADBE) yesterday announced the termination of the legal waiting period mandatory under the amended Hart-Scott-Rodino Antitrust Improvements Act of 1976. The expiry of the waiting period was announced by the FTC in one of its customary listings of approved deals.   The approval is with respect to Adobe’s proposed acquisition of Omniture Inc. Zacks Market Commentaries (August 31st, 2009) Writes:
Arch Coal (ACI) recently extended the size and maturity of its senior secured revolving credit facility. The existing drawing limit under the credit line was raised to $860 million from $800 million through June 2011.

From June 2011, the company will have borrowing right of $763 million through March 2013, which may further be raised up to $800 million. Monsanto Focused on Long-Term Growth, but DuPont Dustup Draws Attention from Regulators

Contrarian Profits (August 21st, 2009) Writes:

Monsanto Corp. (NYSE: MON), the world’s largest seed maker, says it’s on track to more than double its 2007 profit by the year 2012 and is expecting a “technology explosion” to provide even stronger products going forward. But while Monsanto continues to build on its reputation as a cutting edge agricultural business, it is also under siege by competitors and advocacy groups who claim the company is a monopoly.

The St. Louis-based Monsanto said in June that its fiscal third-quarter earnings fell to $694 million, or $1.25 a share, from $811 million, or $1.45 a share, in the same period a year ago. Sales slipped to $3.16 billion from $3.54 billion last year. The company also said its annual earnings would likely be at the low end of its $4.40 to $4.50 a share forecast range.

That’s not very impressive for a company that last year posted record net sales

(MGRM) and North Carolina-based clinical laboratory company Laboratory Corp. of America Holdings (LH) announced that the proposed acquisition of the former is well on its way since the waiting period under Hart-Scott-Rodino has expired with neither the Federal Trade Commission nor the U.S. Department of Justice acting.   The acquisition of Monogram by LabCorp was announced in June this year for about $106.7 million in cash. In addition, LabCorp had agreed to assume about $48 million in debt. With an eye on the acquisition, the clinical laboratory company initiated a tender offer on July 1, 2009 for all of the outstanding shares of common stock of Monogram for $4.55 per share in cash.
