Earlier this month, Atmel Corporation (ATML) reported revenues of $284.5 million in the second quarter of 2009, up 5% sequentially but down 32% year over year. Based in San Jose, California, Atmel designs, develops, manufactures, and markets a range of semiconductor integrated circuits (IC) products for communication, consumer electronics, and the computer market. Revenues reported in the quarter were negatively impacted by reduced demand resulting from the global economic weakness experienced in all electronic markets since the fourth quarter of 2008. In addition, reduced inventory levels held by distributors also resulted in low shipment levels compared to prior periods. According to the research group Gartner, the outlook for the semiconductor equipment industry is showing signs of improvement, as it appears that capital equipment spending bottomed out in the second quarter of 2009. Most semiconductor companies spent the first half of 2009 working through the high levels of inventory built up in the last six months of 2008.Capital spending remains a major concern; it is expected to be down around 40% - 45% in 2009 and not expected to return to normal levels anytime before 2011. Atmel Corporation (ATML) is expected to release its Q3:FY08 results on Oct. 29. Earlier, the company reported Q2:FY08 revenues of $420.9 million, up 4.1% y/y and up 2.4% q/q. Microcontrollers posted record revenues of $143 million and the ASIC segment posted revenues of $121 million.Recently, Microchip, Inc. (MCHP) and ON Semiconductor (ONNN) announced an unsolicited offer to acquire ATML for $5/share in cash. The offer represents a 52.4% premium to Oct. 2 closing price, and values ATML at $2.3 billion. The deal is led by MCHP, with ONNN acquiring the NVM and RF/Auto businesses. MCHP plans to sell Atmel's ASIC business together with the French fab to a third party.
